Successor of instrumente.md seeks support from authorities as guarantor of observance of rights

The co-founder of the group of companies instrumente.md Stela Mihalachi, who also represents her minor daughter, made a call to the authorities – the senior administration, the law enforcement agencies and the ombudswoman for children’s rights – as gurantors of the observance of the rights and the legislation. The woman said she is in dispair. After she became a widow with a minor child to maintain, her brother-in-law started to take action to dispossess her of the shareholding in companies that she inherited after her husband died.

In a news conference at IPN, Stela Mihalachi said that during 15 years, the business started by her husband Todica Andrei, his brother Todica Vadim and an ally of theirs Rotaru Viorel had developed and the gained money was reinvested in the business. Problems started after her husband died in 2016 and she remained with her minor daughter aged five, with the dividends from the common business being their only source of income, but these stopped to be paid.

“My brother-in-law Todica Vadim was categorically against me and my daughter coming into the inheritance we received after my husband died. My husband invested money in the company and this fact is confirmed by the original loan agreements and by bank documents. When we asked that the loans should be repaid, we received an official response from the company’s administrator Rusu Andrian, saying that there are no such contracts in the accounting office and that they are also overdue,” said Stela Mihalachi. She noted that a series of documents were falsified and appropriation was committed. She notified the State Tax Service and the law enforcement agencies of these illegalities, but all in vain. She is now involved in a number of trials and on some days has to go to two-three hearings a day.

“I ask to ensure the observance of my rights and the legislation of the Republic of Moldova, including the authorities that enforce the law and monitor the observance of the law. I hope my requests will be heard by President Maia Sandu, Prime Minister Natalia Gavrilița, Minister of Home Affairs Ana Revenco, acting prosecutor general Dumitru Robu, the National Anticorruption Center,” said Stela Mihalachi. She also called upon the ombudswoman for children’s rights Maia Bănărescu to devote attention to this case.

The family’s lawyer Cristina Doga said that Todica Vadim is the final beneficiary who manages the business instrumente.md through the agency of intermediaries and this “seems to be an organized criminal group”. According to her, one of the goals is to dispossess the minor child and the mother of the legal inheritance left by the child’s father, the late husband.

Andrei Todica died in 2016. He client Stela Mihalachi was unable to manage the business and in 2017-2018 entrusted this to her brother-in-law Vadim Todica. In 2018, the general assembly of shareholders considered taking out a loan of 18 million lei. Stela Mihalachi was against as she could not understand where the companies’ turnover of almost 100 million lei went. The actions to dispossess her started after that assembly. Vadim Todica and his accomplices started to block the general assemblies asked by the associates that hold majority shareholdings. A general assembly was ultimately held and this decided to name a new administrator. But changes at the Public Services Agency could not be made due to the bans imposed by the bailiff.

According to the lawyer, the bailiff abused his authority with the aim of hampering the changes that were to be made by Stela Mihalachi and other associates. There were taken also other concerted actions, including the launch of the insolvency of one of the companies. “Todica Vadim, together with a group of persons, sued Stela Mihalachi. There are now 15 trials that refer to the annulment of contracts and shareholdings, to invested schemes aimed at hampering access to accounting data and at preventing founders from running the business,” stated Cristina Doga.

She noted that the after the insolvency procedures were initiated, a part of the stores were intentionally closed so as to transfer the activities to other companies. “The business was started before 2018 and the loans were secured with real estate belonging to Missis Mihalachi and to Galina Rotaru, who are both associates, while Todica Vadim didn’t pledge any property and does not act as surety at least,” explained the lawyer. Under such circumstances, her client filed a number of complaints, but didn’t get a response to them.
