The new Moldovagaz Board of Observers will be elected no earlier than June

Moldovagaz's Board of Observers is functional and it is not necessary to convene a General Meeting of Shareholders to decide on the replacement of its members.  A new composition of the Board will be elected at the next Annual General Meeting, which will most likely take place in June 2025, a company response to a request made by IPN news agency said.

In early December 2024, the Public Property Agency initiated procedures to replace Sergiu Tofilat on Moldovagaz's Board of Observers. Contacted by IPN, APP communicator Ghenadie Vasilache said that the Agency proposed to Moldovagaz to include the issue of electing the members of the Board of Observers on the agenda of the next General Shareholders' Meeting.

Moldovagaz told IPN that the APP's request is not related to the resignation of Sergiu Tofilat and that the topic will be included on the agenda of the ordinary General Meeting, which will most likely be held in June 2025.

The Board of Observers consists of 6 members, 4 of whom are elected upon Gazprom's proposal, and 2 - upon the proposal of the Moldovan branch ministry.

The Council remained functional after the resignation of Sergiu Tofilat in December 2024, as the quorum is ensured by 5 members.

The State continues to be represented on the Council by Carolina Novac, State Secretary at the Ministry of Energy.

Prime Minister Dorin Recean has called for Sergiu Tofilat's removal from Moldovagaz's Board of Observers, arguing that he "blocked the purchase of gas at favorable prices". Sergiu Tofilat acceded to this position at the proposal of civil society in July 2023.
