Quorum not present, Administration Board of SA Termocom not elected

The Administration Board of SA Termocom couldn't be elected as the quorum was not present. The general assembly on June 10 was attended by a number of shareholders that together hold 80% of the shares in the company. Shareholders owning at least 85% of the shares are to attend for the elections to take place, Info-Prim Neo reports.
The list of shareholders with the right to participate includes 948 persons. The main shareholder is the Chisinau Municipal Council, which owns 79% of the heat supplier's shares.
The agenda of the general assembly initially included the election of the company's director. Mayor General of Chisinau Dorin Chirtoac said that under a series of amendments about which the City Hall was not informed by the State Registration Chamber, the company's director is not elected by the general assembly, but by the Administration Board.
According to Dorin Chirtoaca, the Board will comprise seven persons. “It is not excluded that we will convene a new general assembly to modify the statutes and return to the old composition – nine members,” the mayor said.
Chisinau councilors, delegates of the Parliament and representatives of the Government were proposed for members of the Board. These are: Corneliu Pantea, Ion Gabura, Tudor Cernenco, Veronica Herta, Emil Gutu, Sergiu Ciaus, Pavel Caba, Eugen Roscovan, Serghei Palihovici, Vladimir Babici, Victor Bejenaru, and Vladimir Doncenco. Dorin Chirtoaca said Dionisie Antocel was not included in the list as he said he does not want to continue work.
The next general assembly of shareholders will take place on July 1.
