Law that authorizes Ltds to issue bonds adopted

The limited liability companies (Ltds) will have the right to issue bonds, as a law that was given a final reading by Parliament provides. The MPs adopted amendments to the law on limited liability companies and to the law on the capital market, IPN reports.

The issuing of bonds will enable the Ltds to attract loans for financing the activity at domestic and foreign levels and will encourage competition on the financial instruments market, augmentation of investments and stimulation of the development of the business community.

Under the bill, the issuing of bonds will be agreed at the general assembly of associates and the issuing procedure will be performed based on the provisions of the statutes of the company.

Also, the proposed modifications regulate such aspects as the limits on and protection of the bond owners’ right to information, company documents that regulate the particularities of bond issuing, distribution of the net profit, the powers of the general assembly as regards the issuing of bonds, the company manager’s responsibility for the violation of the rights of the bond owner, etc.
